The Marcus-Meriden-Cleghorn Community School District Board of Directors met in regular joint session on Monday, November 15, 2021, at 6:30 pm at the MMCRU Media Center with the Remsen-Union Community School District Board of Directors. Board members present: Karla Prunty, Danae Dreckman, Laura Staab, Luke Olson. Absent: Belinda Leavitt.
I. CALL TO ORDER
Karla Prunty called the meeting to order at 6:30 p.m.
II. APPROVAL OF AGENDA
Laura Staab moved to approve the agenda. Luke Olson seconded.

No action was taken as this was a Remsen-Union item.
B. IOWA LOCAL GOVERNMENT RISK POOL – NATURAL GAS
After consideration and discussion, Director Luke Olson introduced the Resolution approving the participation by the Marcus-Meriden-Cleghorn School District in a joint agreement establishing local government risk pools, and moved that the resolution be adopted, seconded by Director Laura Staab. After due consideration, the President put the question on the motion and the roll being called, the following names Directors voted: Dreckman AYE, Olson AYE, Prunty AYE, Staab AYE. Motion carried.
C. RESOLUTION APPOINTING PAYING AGENT, BOND REGISTRAR AND TRANSFER AGENT, APPROVING THE PAYING AGENT, BOND REGISTRAR AND TRANSFER AGENT AGREEMNT AND AUTHORIZING THE EXECUTION OF SAME.
Board Member Dreckman introduced the following Resolution entitled “RESOLUTION APPOINTING UMB BANK, N.A. OF WEST DES MOINES, IOWA TO SERVE AS PAYING AGENT, BOND REGISTRAR, AND TRANSFER AGENT, APPROVING THE PAYING AGENT, BOND REGISTRAR AND TRANSFER AGENT AGREEMENT AND AUTHORIZING THE EXECUTION OF SAME” and moved its adoption. Board Member Olson seconded the motion to adopt. The roll was called and the vote was: Olson AYE, Prunty AYE, Staab AYE, Dreckman AYE. Motion carried.
D. APPROVAL OF FORM OF TAX EXEMPTION CERFIFICATE
Board Member Staab moved that the form of Tax Exemption Certificate be place on file and approved. Board Member Dreckman seconded the motion. The roll was called and the vote was: Prunty AYE, Staab AYE, Dreckman AYE, Olson AYE. Motion carried.
E. APPROVAL OF CONTINUING DISCLOSURE CERFICATE
Board Member Olson moved that the form of Continuing Disclosure Certificate be placed on file and approved. Board Member Staab seconded the motion. The roll was called and the vote was: Staab AYE, Dreckman AYE, Olson AYE, Prunty AYE. Motion carried.
F. RESOLUTION AMENDING THE RESOLUTION AUTHORIZING THE ISSUANCE OF BONDS AND LEVYING A TAX FOR THE PAYMENT THEREOF ADOPTED APRIL 12, 2021.
Board Member Dreckman introduced the following Resolution entitled “RESOLUTION AMENDING THE RESOLUTION AUTHORIZING THE ISSUANCE OF GENERAL OBLIGATION SCHOOL BONDS, SERIES 2021, OF THE MARUCS-MERIDEN-CLEGHORN COMMUNITY SCHOOL DISTRICT, STATE OF IOWA, IN THE AMOUNT OF $10,000,000, AND LEVYING A TAX FOR THE PAYMENT THEREOF ADOPTED APRIL 12, 2021,” and moved its adoption. Board Member Staab seconded the motion to adopt. The roll was called and the vote was: Dreckman AYE, Olson AYE, Prunty AYE, Staab AYE. Motion carried.
G. EXAMINATION OF FINANCIAL BALANCES
Joe Mohning presented the Financial Balances to the board. Danae Dreckman moved to approve the Financial Balances. Luke Olson seconded.
